If you are using the Service on behalf of an organization, you represent and warrant that you have authority to bind that organization to these Terms.

Sentinel.ai provides automated website scanning and analysis services that identify potential compliance risks related to privacy regulations, accessibility standards, and other legal requirements. Our Service includes:

• Automated website scans for potential compliance issues
• Risk scoring and risk level assessments
• Identification of potential issues related to GDPR, ADA/WCAG, CCPA, CalOPPA, COPPA, and other regulations
• Remediation suggestions and guidance
• Scheduled monitoring and alerts
• Compliance reports and documentation

4. User Accounts

4.1 Account Registration

To use certain features of the Service, you must register for an account. When registering, you agree to:

• Provide accurate, current, and complete registration information
• Maintain and promptly update your registration information
• Maintain the security of your password and account credentials
• Accept responsibility for all activities that occur under your account
• Notify us immediately of any unauthorized use of your account

• You must be authorized to bind your organization if using the Service on their behalf

• Unauthorized Scanning: Scan websites you do not own or do not have explicit authorization to scan
• Malicious Activity: Use the Service to attack, exploit, or compromise other systems
• Interference: Interfere with or disrupt the Service, servers, or networks connected to the Service
• Circumvention: Attempt to bypass security features, rate limits, or usage restrictions
• Reverse Engineering: Reverse engineer, decompile, or attempt to extract source code from the Service
• Automated Access: Use bots, scrapers, or automated means to access the Service beyond normal usage
• Resale: Resell, sublicense, or commercially exploit the Service without our written consent
• Misrepresentation: Misrepresent your identity, authorization, or affiliation
• Harmful Content: Upload malicious code, viruses, or harmful content
• Illegal Activity: Use the Service for any illegal purpose or in violation of any applicable laws

6. Subscription and Payment Terms

6.1 Subscription Plans

The Service offers various subscription plans with different features and usage limits. Current plan details and pricing are available on our website. We reserve the right to modify plans and pricing with 30 days notice to existing subscribers.

6.2 Payment

• Subscription fees are billed in advance on a monthly or annual basis
• All fees are stated in US dollars unless otherwise indicated
• You authorize us to charge your payment method for all applicable fees
• Payments are processed by our third-party payment processor (Stripe)

6.3 Automatic Renewal

Subscriptions automatically renew at the end of each billing period unless cancelled before the renewal date. You may cancel your subscription at any time through your account settings or by contacting support.

6.4 Refunds

• 14-Day Guarantee: New subscribers may request a full refund within 14 days of initial purchase
• No Prorated Refunds: We do not provide prorated refunds for unused portions of subscription periods after the 14-day guarantee period
• Exceptions: Additional refunds may be granted at our sole discretion

6.5 Taxes

Fees do not include taxes. You are responsible for all applicable taxes, and we may collect taxes as required by law in your jurisdiction.

8.1 Our Intellectual Property

The Service, including all software, algorithms, content, features, functionality, designs, and documentation, is owned by Sentinel.ai and is protected by copyright, trademark, patent, trade secret, and other intellectual property laws. You receive no ownership rights in the Service.

8.2 Limited License

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your internal business purposes during your subscription period.

8.3 Your Content

You retain ownership of data you submit to the Service. By submitting URLs for scanning, you grant us a limited license to access and analyze publicly available content from those URLs solely to provide the Service.

You agree to defend, indemnify, and hold harmless Sentinel.ai and its officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any and all claims, damages, obligations, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from:

• Your use of the Service
• Your violation of these Terms
• Your violation of any third-party rights, including intellectual property rights
• Any claim that your website violates applicable laws or regulations
• Any claim arising from your reliance on the Service or our reports
• Your failure to obtain proper legal advice
• Your unauthorized scanning of third-party websites

We reserve the right to assume exclusive defense and control of any matter subject to indemnification by you, at your expense.

12. Termination

12.1 Termination by You

You may terminate your account at any time by cancelling your subscription through your account settings or by contacting support. Upon termination, your right to use the Service will cease immediately.

12.2 Termination by Us

We may suspend or terminate your account immediately, without prior notice or liability, for any reason, including but not limited to:

• Violation of these Terms
• Fraudulent or illegal activity
• Non-payment of fees
• Conduct that harms other users or the Service
• Extended periods of inactivity

12.3 Effect of Termination

Upon termination:

• Your license to use the Service ends immediately
• We may delete your account and associated data
• You remain liable for all fees incurred before termination
• Sections 3, 7, 9, 10, 11, 14, and 15 survive termination

13. Modifications to Service and Terms

13.1 Service Modifications

We reserve the right to modify, suspend, or discontinue the Service (or any features) at any time without notice. We shall not be liable to you or any third party for any modification, suspension, or discontinuation.

13.2 Terms Modifications

We may modify these Terms at any time. We will notify you of material changes by posting the updated Terms on this page and updating the "Last updated" date. For significant changes, we may also provide notice via email. Your continued use of the Service after changes constitutes acceptance of the modified Terms.

14. Dispute Resolution

14.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions.

14.2 Arbitration

Any dispute, claim, or controversy arising out of or relating to these Terms or the Service shall be resolved by binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules. Arbitration shall take place in Wilmington, Delaware, or remotely via videoconference. The arbitrator's decision shall be final and binding.

14.3 Class Action Waiver

YOU AGREE THAT ANY DISPUTE RESOLUTION PROCEEDINGS WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. You waive any right to participate in a class action lawsuit or class-wide arbitration.

14.4 Exceptions

Notwithstanding the above, either party may seek injunctive relief in any court of competent jurisdiction to prevent actual or threatened infringement of intellectual property rights.

15. General Provisions

• Entire Agreement: These Terms, together with our Privacy Policy and any other policies referenced herein, constitute the entire agreement between you and Sentinel.ai regarding the Service.
• Severability: If any provision of these Terms is found unenforceable, the remaining provisions will remain in full force and effect.
• Waiver: Our failure to enforce any provision of these Terms shall not constitute a waiver of that provision or any other provision.
• Assignment: You may not assign these Terms without our prior written consent. We may assign these Terms without restriction.
• Force Majeure: We shall not be liable for delays or failures in performance resulting from causes beyond our reasonable control.
• Notices: We may provide notices to you via email, posting on the Service, or other reasonable means. You may provide notice to us at the contact information below.
